Terms of Service

RecallDash flags possible recalls for your review. It can miss recalls or flag the wrong product. You remain responsible for checking official notices and what you sell.

1. The agreement

These Terms bind Valiz Labs LLC, a California company ("RecallDash," "we," "us"), and your business ("you"). RecallDash serves US businesses. The person accepting must be at least 18 and authorized to accept for your business.

You accept when you create an account or otherwise expressly agree. If you disagree, do not use RecallDash. The Privacy Policy explains our information practices.

2. What RecallDash does

RecallDash compares your products with public recalls using its own matching rules, not AI. It displays possible matches, records your decisions and emails alerts. Features depend on your plan and settings.

Square access is read-only: catalog, business and location details, not customers, orders, payments or inventory counts. We never change your catalog or stock. Uploaded and manually added products stay as entered; later uploads do not remove missing products.

We do not remove products from sale, contact shoppers or agencies, make government filings, or give legal, regulatory or medical advice. RecallDash is not an agent of or endorsed by Square or any agency. Square is a Block, Inc. trademark. We are not responsible for the data, outages or actions of Square or the government sources; your Square account is governed by Square's terms.

3. Recall coverage and timing

Sources: FDA food and drug enforcement reports (U.S. Food and Drug Administration, https://open.fda.gov), USDA FSIS, CPSC, and NHTSA child-seat, tire and vehicle-equipment recalls. Agencies do not endorse RecallDash or warrant their data.

Coverage excludes FDA medical-device recalls and import alerts, EPA stop-sale orders, state/local warnings and some motor-vehicle recalls. FDA and CPSC history starts July 1, 2024. RecallDash shows when each source was last checked; off, failing or unsynced sources are not being checked.

Checks run about daily; source publication, processing, review and email can delay alerts without a maximum delay. FDA reports are weekly and may omit later status changes. This is not an emergency or real-time service. Do not rely on FDA data shown in RecallDash for medical-care decisions. Alerts serve your business; they are not public alerts.

4. Using matches

A match is not proof your product or lot is recalled. RecallDash can miss recalls or flag the wrong product, including because of incomplete or incorrect product and source data. "No match" is not proof a product is free of recalls or lawful to sell.

Check the original notice against your product, lot, dates and distribution; follow its instructions and continue supplier and official recall checks. Your review decisions do not change official notices.

5. Your account and alerts

Protect your login, keep your catalog and alert email current, and report unauthorized access, wrong findings or missing alerts promptly. You are responsible for your submissions and authorized users.

Alerts from RecallDash <alerts@recalldash.app> go to each store's alert email, which may start as your verified sign-in email; review it in Settings. Email can be delayed, filtered into spam or missed. Check your dashboard: uncertain matches do not trigger email on their own, and some findings await review before email.

Service emails are not marketing and have no separate unsubscribe or pause control: changing a store's alert email redirects its alerts, and removing or disconnecting the store stops them.

6. Your information

You own your information and allow us to host, copy, process and transmit it as needed to provide, secure and support RecallDash as the Privacy Policy describes. We do not sell your catalog or use your information for advertising. We do not use your information or Square data, anonymized or not, to train or otherwise enhance AI systems.

Only submit information you may lawfully share. Do not submit shopper lists, card data, health records or passwords; keep personal details out of products and notes.

We use reasonable care to protect non-public business information and use it only for the purposes above and in the Privacy Policy. Disclosure is limited to your authorized users and alert recipients; personnel and providers bound by confidentiality who need it; a successor assuming this duty; as required by law; or as reasonably necessary for fraud investigations, rights protection and security incidents. The duty excludes information public through no fault of ours, already known to us, independently developed or lawfully obtained elsewhere. Section 9 applies.

We own RecallDash's software, design and brand. You may use it internally while complying with these Terms and keep downloaded exports. Do not bypass security, access others' data, upload malware, disrupt the service or break the law.

If you send ideas or feedback, we may use them to improve RecallDash without obligation to you. This gives us no rights in your store data, Square data or personal information and does not let us disclose your confidential information.

7. Fees and paid plans

Creating an account does not start a paid subscription.

Paid plans are sold by Valiz Labs LLC, separately from and in addition to any fees Square charges you. Clerk/Stripe checkout shows price and billing period for your confirmation; no charge begins without that confirmation. For any free trial, checkout shows its length; no payment method is needed to start a trial. Afterward, the paid plan starts only if you added a payment method; otherwise it ends without charge.

Plans are prepaid in US dollars and renew automatically each billing period at the then-current price until canceled. Cancel any time in Billing under Manage account; cancellation takes effect at the end of the paid period, with access until then. Payments are non-refundable except where law requires or we charged you in error, and as section 8 and section 10 provide.

We email your account address notice of any price increase, with instructions to cancel, at least 30 days before it applies to you. Prices include any sales or similar tax we are legally required to collect unless separately shown at checkout. You owe other purchase taxes, except our income taxes.

Product and location limits on the pricing page apply; exceeding them may require an upgrade. Removing a store does not cancel a paid plan. Free and beta features may change or end.

8. Leaving RecallDash

You may leave at any time: remove or disconnect each store in Settings, which stops its alerts, and email support@recalldash.app from your account email to close your RecallDash account; we also cancel any paid plan. Export records first: removal ends store-record access. Privacy section 7 explains deletion.

Deleting only your sign-in profile does not close your RecallDash account: your stores stay connected and alert emails keep coming until you remove them or we close your account.

We may suspend access as reasonably needed for misuse, security, legal requirements, non-payment or lost provider access. We may end access or the service on 30 days' notice, or immediately for material breach or non-payment. If we end a paid plan without cause, we refund unused prepaid fees. Where practical, we give advance notice and an export opportunity.

9. Warranty, liability and indemnity

TO THE EXTENT LAWFUL, RECALLDASH IS "AS IS" AND "AS AVAILABLE," WITHOUT EXPRESS, IMPLIED OR STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR COURSE-OF-DEALING WARRANTIES. WE DO NOT GUARANTEE COMPLETE OR CORRECT MATCHES OR NO-MATCH RESULTS, TIMELY OR DELIVERED ALERTS, OR UNINTERRUPTED ACCESS.

TO THE EXTENT LAWFUL, UNDER ANY LEGAL THEORY, INCLUDING NEGLIGENCE: NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS, INCLUDING MISSED, LATE OR INCORRECT MATCHES OR ALERTS AND RELIANCE ON THE SERVICE, IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE AND US$100. THESE LIMITS DO NOT APPLY TO FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, YOUR INDEMNITY, FEES OWED OR LIABILITY THAT CANNOT LAWFULLY BE LIMITED. RecallDash supplements your monitoring; pricing reflects this allocation. Contact us if you need a higher limit.

You will defend and indemnify Valiz Labs LLC against third-party claims and related losses and reasonable legal costs to the extent arising from your submissions, products you sell or your decisions about them, or your breach of these Terms or law, except to the extent a claim results from our breach of these Terms, negligence, willful misconduct, fraud or violation of law. We promptly notify you; you control the defense with counsel reasonably acceptable to us. Settlements binding us require our consent. We may participate at our expense.

Mandatory legal rights remain unaffected.

10. Changes and legal terms

We give at least 30 days' notice of material changes by email or in the service, unless law or security requires less. Changes to rights or obligations show a new effective date and apply prospectively. Continued use after that date accepts those changes, with express agreement where required by law. If you disagree, stop using RecallDash and cancel; if you cancel a paid plan because of a material change, we refund the unused prepaid portion.

California law governs these Terms, excluding conflict-of-laws rules. California state and federal courts have exclusive jurisdiction, and both parties consent to personal jurisdiction; urgent relief may be sought in any competent court. File claims within one year after the claimant discovered, or reasonably should have discovered, the relevant facts; if law prohibits this period, the shortest period that law permits applies.

These Terms and confirmed checkout plan details are the entire agreement; a signed agreement overrides only what it expressly changes. Assignment needs our consent, except we may assign to a business successor. We send notices to your account email or the service. Send us notices at the email or postal address above. Neither party is liable for delay or failure caused by events beyond reasonable control, including outages of Square or government data sources, except payment obligations. Unenforceability leaves other provisions intact in that jurisdiction; that part remains enforceable elsewhere. Non-enforcement is not waiver. Information rights, confidentiality, fees owed, liability, indemnity and disputes survive termination.
